1. Terms and Conditions of Sale and Use

1. General
These Terms and Conditions of Sale (“Sales Terms”) govern all product sales by Farrell Enterprises Limited (“FEL”, “we”, “our”) to any customer (“you”, “Customer”).
FEL’s offer to sell and its acknowledgement of any purchase order (“Order”) are expressly conditioned on your acceptance of these Sales Terms. Any differing or additional terms in your documents are rejected unless agreed to in writing by FEL.
2. Prices and Typographical Errors
All prices are in Canadian dollars and subject to change without notice. FEL is not responsible for typographical or data errors. If a product is listed at an incorrect or outdated price, we may refuse or cancel the order and promptly credit any payment.
3. Order Acceptance Policy
Your receipt of electronic confirmation does not constitute our acceptance.
FEL reserves the right, prior to shipment, to adjust quantities, revise delivery dates, or cancel orders without liability.
4. Payment Terms
Payment must be received before shipment unless credit terms are approved in writing.
Accepted methods: credit card and debit card.
Invoices are payable upon issue. Late payments may accrue interest at the highest rate permitted by law.
5. Shipping Charges, Taxes and Delivery
Separate charges for shipping and handling will appear on invoices. You are responsible for all applicable sales taxes.
Delivery dates are approximate; FEL is not liable for delays. Orders may be allocated based on product availability.
6. Title and Risk of Loss
Title and risk of loss transfer to you upon delivery of the goods to the carrier (F.O.B. shipping point).
7. Warranty Limitations
Except for manufacturers’ warranties, all goods are provided “as is.”
FEL makes no express or implied warranties, including merchantability or fitness for a particular purpose.
Your sole remedy is directly with the manufacturer or as provided in our Return Policy.
8. Limitation of Liability
FEL shall not be liable for any indirect, incidental, special, punitive or consequential damages, including loss of profits, business, data, or use.
Our total liability shall not exceed the purchase price actually paid for the affected product.
9. Force Majeure
FEL is not responsible for any delay or failure to perform due to events beyond reasonable control, including acts of God, labor disputes, pandemics, government actions, shortages, or transportation failures.
10. Special Order and Non-Returnable Items
Custom-cut, custom-built, or special-order items are non-cancelable and non-returnable once production has begun.
11. Product Information and Disclaimer
Specifications are provided by manufacturers and may vary. Actual products may differ from photos.
Products are not intended for life-support or medical applications.
12. Export Compliance
You agree not to export or re-export any FEL product contrary to Canadian or U.S. law.
13. Website Use Terms
All website materials are protected by copyright and may be used only for private, non-commercial purposes.
You may not reproduce, distribute, or modify site content without prior written consent.
14. User Contributions (Reviews & Comments)
By submitting content, you grant FEL a perpetual, royalty-free license to use, modify, publish and distribute such content.
You agree not to post unlawful, defamatory, or infringing material and warrant that you own all rights to your submissions.
15. Mobile Messaging (If Applicable)
By subscribing to text alerts, you consent to receive recurring marketing messages.

16. Governing Law and Jurisdiction
These Terms are governed by the laws of Ontario and the federal laws of Canada.
You submit to the exclusive jurisdiction of the provincial Ontario courts.
17. Amendments
FEL may update these Terms at any time by posting a revised version with a new effective date. Continued use constitutes acceptance.
18. Language of Agreement
The parties have requested that this agreement and all related documents be drafted in English.
